Dean's List Business Associations Notes
Subject notes for UNSW LAWS1091
Description
These summary notes were prepared to provide a detailed, clear, structured way to answer issues raised in Business Associations problem questions. As a result of the use of these notes, I received a 89 in the course (Dean's list). They cover all course content, including all set readings and online materials. Relevant cases and legislation are cited where applicable. Each topic goes into sufficient detail to receive full marks on a given question, including the more niche areas of the syllabus (eg. the length of time required for a Director to call a meeting, notice requirements etc). These notes were extremely useful for me in the final exam and subsequent take-home exam. They are structured for really easy use. Given the ridiculous amount of content on this course, they should save you countless hours. Contains detailed notes on: - Incorporation - Limited Liability - Rights relating to shares - Piercing the veil - The corporate constitution - Distribution of corporate powers between shareholders and directors - Functioning of the board of directors - The company in general meeting - The authority of corporate agents to bind the company - Directors' duties: Common law - Directors' duties: Statute - Shareholder remedies - Insolvency - Corporate criminality - Corporate groups - Nominee directors - ASIC civil penalties - Other penalties - Injunctions
